These Terms & Conditions (“Terms”) govern the agreement between Senior Designs Ltd, a company registered in England and Wales (Company No. 12589327), incorporated on 6 May 2020, with its registered office at Holly House, 21d Chudleigh Road, Alphington, Exeter, England, EX2 8TS (“we”, “our”, “us”), and any person or business (“you”, “your”) who purchases or uses advertising and listing services on WeddingUK.co.uk.

By creating an account, purchasing advertising, submitting a listing, or using our website, you agree to be bound by these Terms.

1. Acceptance of Terms

1.1 Your use of our website and services is subject exclusively to these Terms.

1.2 You acknowledge that you have not relied on any statement, promise, or representation not expressly set out in these Terms.

2. Your Obligations

2.1 You confirm that:

(a) all information, images, descriptions, and content submitted by you are accurate, lawful, and not misleading;

(b) you own or have permission to use all content uploaded to your listing;

(c) your content does not infringe any third-party intellectual property rights;

(d) you will comply with all applicable laws and regulations;

(e) you are solely responsible for the accuracy, legality, and content of your listing and any services you advertise.

2.2 We reserve the right, at our sole discretion, to edit, suspend, reject, or remove any listing or content that we believe breaches these Terms or may damage our reputation.

3. Directory Platform Only

3.1 WeddingUK.co.uk operates solely as an online directory and advertising platform for wedding-related businesses and services.

3.2 All advertisers and service providers listed on the website are independent third parties and are not employees, agents, representatives, partners, or subcontractors of Senior Designs Ltd.

3.3 We do not routinely verify, monitor, approve, endorse, or guarantee any advertiser, listing, review, product, or service displayed on the website.

3.4 We are not responsible or liable for:

(a) the quality, legality, safety, suitability, or delivery of any services advertised;

(b) any acts, omissions, negligence, misconduct, fraud, misrepresentation, or breach of contract by advertisers or third parties;

(c) any loss, damage, injury, disappointment, cancellation, delay, or dispute arising between users and advertisers.

3.5 Any booking, agreement, transaction, or dispute between users and advertisers is entirely at the parties’ own risk and responsibility.

4. Payments, Renewals & Cancellations

4.1 Advertising and listing services are provided on a subscription basis and billed annually unless otherwise agreed in writing.

4.2 Subscriptions may automatically renew unless cancelled before the renewal date.

4.3 Payment must be received in full before a listing becomes live.

4.4 If payment is not received on time, we reserve the right to suspend or remove your listing without notice.

4.5 If you pay via PayPal or another third-party payment provider, you are solely responsible for managing and cancelling any recurring payment arrangement directly with that provider.

4.6 Cancellation requests sent only by email, contact form, telephone, or social media do not automatically cancel recurring subscription payments.

4.7 To avoid future renewal charges, you must:

(a) cancel the recurring payment through PayPal or the relevant payment provider; and

(b) notify us in writing that you wish to terminate your listing.

4.8 Cancellation will take effect at the end of the current paid subscription period.

4.9 Except where required by law, all payments are non-refundable.

4.10 All prices are subject to VAT where applicable.

5. Payment Terms

5.1 Where invoicing is agreed, invoices must be paid within 30 days of the invoice date.

5.2 We reserve the right to charge interest and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998.

6. Payment Processing

6.1 Online payments are processed securely via third-party payment providers.

6.2 We are not responsible for errors, interruptions, or issues caused by third-party payment providers.

7. Website Availability

7.1 We do not guarantee uninterrupted or error-free access to the website.

7.2 We may modify, suspend, or discontinue any part of the website or services at any time without liability.

8. Third-Party Links

Our website may contain links to third-party websites. These links are provided for convenience only. We are not responsible for the content, availability, or accuracy of third-party websites.

9. Intellectual Property

9.1 All intellectual property rights relating to WeddingUK.co.uk, including website design, text, graphics, logos, branding, software, and content created by us, remain owned by or licensed to Senior Designs Ltd.

9.2 By uploading or submitting content, including images, logos, text, videos, and other materials, you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, display, publish, distribute, and promote such content on WeddingUK.co.uk, our social media channels, advertising platforms, marketing materials, newsletters, and promotional campaigns for the purpose of promoting your business and WeddingUK.co.uk.

9.3 You confirm that you own or have obtained all necessary rights, licences, and permissions for any content you upload or submit, and that such content does not infringe the intellectual property rights, privacy rights, or other rights of any third party.

9.4 We reserve the right to remove any content that we reasonably believe infringes copyright, trademarks, intellectual property rights, or these Terms & Conditions.

9.5 You remain the owner of your uploaded content at all times. Nothing in these Terms transfers ownership of your intellectual property to us.

10. Disclaimers & Limitation of Liability

10.1 We will provide our services using reasonable care and skill.

10.2 We make no warranty that the website will be uninterrupted, secure, error-free, or free from viruses.

10.3 We are not responsible for resolving disputes between advertisers and customers, including disputes relating to bookings, cancellations, payments, refunds, service quality, or contractual performance.

10.4 To the fullest extent permitted by law, our total liability for any claim arising from our services shall not exceed the total amount paid by you to us in the 12 months preceding the claim.

10.5 We shall not be liable for any indirect, incidental, or consequential loss, including loss of business, revenue, profits, goodwill, opportunity, or data.

11. Data Protection & Privacy

11.1 We process personal data in accordance with our Privacy Policy.

11.2 You must not misuse or collect personal data from other users without lawful authority.

12. Confidentiality

13. Indemnity

14. Suspension & Termination

14.1 We may suspend or terminate your account and remove your listing immediately if:

(a) you breach these Terms;

(b) payment is overdue;

(c) your listing is considered misleading, unlawful, offensive, or harmful to our reputation.

14.2 No refund or compensation will be payable where a listing is removed or suspended due to breach of these Terms.

15. Force Majeure

We shall not be liable for any delay or failure to perform our obligations where such delay or failure results from circumstances beyond our reasonable control, including but not limited to internet outages, cyber attacks, technical failures, natural disasters, pandemics, governmental actions, labour disputes, or failures of third-party providers.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Third-Party Rights

Nothing in these Terms shall confer any rights upon any third party under the Contracts (Rights of Third Parties) Act 1999.

18. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
